The Yolanda Adams Morning Show “Super Bowl of Gospel Text-To-Win” Contest (“Contest”) will begin on Wednesday, January 11, 2012 and end on Thursday, January 19, 2012 (“Contest Period”) unless otherwise terminated earlier or extended at the sole discretion of Sponsor (as defined below).  One (1) grand prize winner will be awarded: a trip for two (2) to attend the Super Bowl of Gospel Celebration Concert on Friday, February 3, 2012 in Indianapolis, IN, to include roundtrip airfare and two (2) nights hotel stay, two (2) VIP seats to the Super Bowl Gospel Celebration Concert, two (2) tickets to the NFL Experience, VIP Meet N Greet with participating performing artists and NFL players, and Three Hundred Dollars ($300) spending money.

HOW TO ENTER:

1. Listen to the Yolanda Adams Morning Show weekdays (Monday through Friday) during the Contest Period around 5:29am Central Time for the announcement to text in their entry for the Contest.

1. One (1) Grand Prize winner will be chosen by random drawing from all eligible text entries received and will be announced on Friday, January 20th, 2012.

1. In the event of a dispute regarding the identity of a participant’s text entry, the entry will be deemed to have been made by the authorized holder of the mobile account at the time the entry was made.

1. By submitting an entry in this Contest, each participant represents and warrants to be bound by the Official Contest rules, that they are authorized to and have the rights to submit the content in the entry, and that all of the below-listed requirements have been met.

ELIGIBILITY RESTRICTIONS:

1. The Contest will be conducted in real time on the Participating Stations broadcasting The Yolanda Adams Morning Show and is open to listeners of the Morning Show who are twenty-one (21) years of age and older at the time of entry and are legal residents of the 48 contiguous United States (excluding Rhode Island).

Employees of The Yolanda Adams Morning Show, the Participating Stations, Syndication One, Radio One, Inc., REACH Media Inc, (collectively, “Sponsor”), Dial Global Communications,  and each of their respective parents, subsidiaries, affiliated companies, promotion partners, sponsors and advertising and promotional agencies (together with Sponsor, collectively, “Contest Entities”) and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in their same households (whether or not related) are NOT eligible to participate or win in this Contest.

1. Travel guest of grand prize winner must also be twenty-one (21) years of age or older and a legal resident of the U.S.  Winner and guest must each possess required travel documents (e.g. valid passport, driver’s license, or other government-issued photo I.D.) prior to departure and must travel on the same itinerary.  Travel guest will be required to sign and submit all requested release forms along with the grand prize winner.

1. Once an individual wins a prize in this Contest, they are not eligible to win another prize in this Contest except as specified within these rules.

Persons who have won a prize in another contest or promotion of any kind from the Morning Show within the thirty-day (30) period immediately preceding the start date of this Contest are not eligible to participate.  Only one person per family or household (whether related or not) may win in any promotion from the Morning Show during any thirty (30) day period.

The Sponsor at its sole discretion will choose whether or not to air the winning notification call or publish the name of the day’s Winner.  Sponsor assumes no responsibility for any computer, telephone, cable, network, electronic or internet hardware or software malfunctions, failures, connections, availability, traffic congestion, unauthorized human intervention, or any error or malfunction.

PRIZES:

1. Grand Prize package will include the following:

A trip for two (2) to attend the Super Bowl of Gospel Celebration Concert on Friday, February 3, 2012 in Indianapolis, IN, to include

1. Round trip coach airfare for two (2) people from a metropolitan airport nearest to the winner’s residence within the continental U.S.,
2. Two (2) night stay in a standard double occupancy hotel room
3. Two (2) VIP seats to the Super Bowl Gospel Celebration Concert
4. Two (2) tickets to the NFL Experience
5. VIP Meet N Greet with participating artists & NFL players
6. Three Hundred Dollars ($300) spending money (in the form of a check).

Ground transportation, meals, beverages, gratuities, hotel room service, souvenirs, incidentals, and all other expenses not specified herein are the responsibility of the winner and his or her guest.  Estimated Value: Three Thousand Four Hundred Dollars ($3,400.00).  If the actual value of the prize is less than the stated approximate retail value, the difference will not be awarded in cash.

1. To the extent that prize elements are provided by third-party providers, winner agrees to look solely to applicable prize providers with respect to any claims, losses, or disputes in connection therewith.

1. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by station management and/or the sponsor in its sole discretion.

Round trip coach airfare to Miami, FL from winner’s originating city (if applicable, depending upon the winner’s place of residence); Ground transportation in Miami, FL between the airport and port of call; One (1) double occupancy cabin aboard the ONE LOVE GOSPEL CRUISE departing on April 3, 2011 and returning on April 8, 2011. Meals, excluding private restaurants, on board the ship are included. The cruise ship will depart from Miami sailing to Nassau, Bahamas and the Dominican Republic.

Winner must be able to travel and attend the ONE LOVE GOSPEL CRUISE on the designated days as directed by the Sponsor. Estimated Value: Three Thousand Dollars ($3,000).

2. Additional ground transportation, meals away from/on the ship, alcoholic beverages, gratuities, off-ship excursions, taxes, souvenirs, laundry service, incidentals, and all other expenses not specified herein are the responsibility of the winner and his or her guest.

8. Sponsor retains the right to disqualify any entrant if all sweepstakes rules are not followed. Sweepstakes void if prohibited by law.

9. Sponsor reserves the right to make changes in the rules of the Sweepstakes in its sole discretion at any time without notice, which will become effective immediately. In the event any Winner is found to be in violation of these Official Rules or is otherwise determined by Sponsor, in its sole discretion to be ineligible, he/she will be required to forfeit prize or to reimburse the Sponsor for the stated value of a prize if such a violation is found after the prize has been used by Winner.

10. The Yolanda Adams Morning Show, the Participating Stations Sponsor, Dial Global Communications, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for the inability of any entrant to complete or continue a telephone call, facsimile transmission or internet registration due to equipment malfunction, busy lines, inadvertent disconnections, unavailable network, server, Internet Service Provider (ISP), communication failures or human error that may occur in the transmission, receipt or processing of entries. In addition, The Yolanda Adams Morning Show, the participating stations, Sponsor, Dial Global Communications, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for lost, misdirected, mutilated, illegible or incomplete Sweepstakes entries. Once submitted, entries become the property of the station and will not be returned.

11. By accepting the prize, the winner acknowledges that The Yolanda Adams Morning Show, the Participating Stations, Sponsor, and Dial Global Communications have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or to any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

12. The Yolanda Adams Morning Show, the Participating Stations, Sponsor, Dial Global Communications, their respective subsidiaries, affiliates, participating sponsors and promotional partners will not assume any responsibility for any changes in the execution of the Sweepstakes, including; cancellation of the Sweepstakes as a result of the occurrence of events not within the control of The Yolanda Adams Morning Show, the Participating Stations, Sponor, Dial Global Communications, their respective subsidiaries, affiliates, participating sponsors, promotional partners and other radio stations, such as acts of God, strikes, terrorists acts or criminal acts of third parties. In the event, such an act should occur; reasonable attempts will be made to offer the winner comparable prize(s) currently being offered by the station in lieu of the prize originally awarded.

13. The Yolanda Adams Morning Show, the Participating Stations, Sponsor, and Dial Global Communications are not responsible for any incorrect or inaccurate entry information, whether caused by any of the equipment associated with or utilized in the Sweepstakes, and assume no responsibility for error omission, interruption, defect, failure, malfunction or delay in operation or transmission, or for any damage to participants phone, cell phone, mobile device, computer, hardware, software, or any other device, or for theft or destruction, tampering or unauthorized access to entry information, or for entries which are misdirected, inaccurate, incomplete or, inaudible, disconnected or any combination thereof) or for preemption or cancellation of the radio program, or for technical, network, typographical, human or other errors or problems relating to or in connection with the Sweepstakes, including, without limitation, errors or problems which may occur in the connection with the administration of the Sweepstakes, the announcement of prizes of in any Sweepstakes -related materials. If for any reason the Sweepstakes is not capable of running as planned by reason of tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify, or suspend the Sweepstakes (or any portion thereof). Any attempt to defraud Sponsor in any way will result in de-qualification of participant, and such participant will be prosecuted to the fullest extent of the law. OFFICIAL RULES

Radio One, Inc. (also referred to as the “Company”) its subsidiaries and affiliated stations and Bermuda Tourism (also referred to as the “Sponsor”) will conduct the Sweepstakes substantially as described in these rules.  The Company and Sponsor may conduct the Sweepstakes concurrently and simultaneously on several participating stations licensed to, managed by or affiliated with the Company, and in various States.

SWEEPSTAKES DESCRIPTION:
The period of the “Bermuda Music Festival 2010 Flyaway” Sweepstakes (“Sweepstakes”) is from 12:00 AM ET on Monday, August 9, 2010 to 11:59 PM ET on Sunday, September 12, 2010 (“Sweepstakes Period”).  Sweepstakes participants must register online for a chance to win a trip for two (2), including airfare, hotel, and tickets to Bermuda, for the Bermuda Music Festival (“Grand Prize”), on September 30 – October 2, 2010.  Four (4) Sweepstakes participants will be selected as grand prize winners.

ELIGIBILITY:

1. The Sweepstakes is open to individuals who are twenty-one (21) years of age or older (at the time of Sweepstakes entry) and are legal residents of the continental United States and Washington, DC.
2. Employees or agents of WRNB-FM, WAMJ-FM, WMMJ-FM (collectively the “Participating Stations”), The Yolanda Adams Morning Show, The Russ Parr Morning Show, The Rickey Smiley Morning Show (collectively the “Participating Networks”), Radio One, Inc. (“Radio One”), Bermuda Tourism, their respective parent companies, affiliates, subsidiaries, advertising/promotional agencies, participating radio stations, and the members of their immediate families or those persons living in the same household of such individuals are ineligible to enter or win.
3. Proper identification and proof of age (i.e. driver’s license, passport or other photo I.D. with birth date) must be presented before any prize will be released to the winners.
4. If any selected winner is under the age of twenty-one (21) or resides outside of the continental United States, they will be disqualified.
5. Winner and travel guest will be required to have a valid passport prior to departure for international travel.  Winners and guests must travel on the same itinerary.
6. Travel guest of the grand prize winner must also be twenty-one (21) years of age or older and a legal resident of the U.S.  Travel guest of the grand prize winner will be required to complete and submit all required release forms along with the grand prize winner.
7. Winners are solely responsible for all applicable taxes.
8. By participating, entrants agree to comply with the Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects.

HOW TO ENTER / EXECUTION:

This Sweepstakes is open to all eligible listeners of the Participating Stations and the Participating Networks who are legal residents of the U.S. and are twenty-one (21) years of age or over as of the date of entry. Offer void where prohibited by law.

1. To enter the Sweepstakes for a chance to win the Grand Prize, participants must listen for instructions on the Participating Stations and the Participating Networks.
2. Sweepstakes participants may only register through one of the following websites:  theyolandaadamsmorningshow.com, therussparrmorningshow.com, rickeysmileymorningshow.com, rnbphilly.com, majicatl.com, and mymajicdc.com.
3. Upon entering the Sweepstakes website, participants are to follow the on-screen instructions, including entering their name, date of birth, address, phone number, email address, and any optional or additional contact information, as requested, to register for a chance to win.
4. One entry per person per day during the Sweepstakes Period.
5. In the event of a dispute regarding the identity of a participant’s online entry, the entry will be deemed to have been made by the authorized holder of the e-mail account at the time the entry was made.
6. Radio One will collect all entries during the Sweepstakes Period.  By Wednesday following the last day of the Sweepstakes Period (September 15, 2010), Radio One will randomly select the winners from among all eligible entries received electronically.
7. A total of four (4) grand prize trips will be awarded.  There will be three (3) winners selected at random from among the eligible entries received through the websites of the Participating Stations.  There will be one (1) winner selected at random from among the eligible entries received through the websites of the Participating Networks.  Grand Prize winners will be notified by phone and / or email within three (3) business days of their selection and provided with instructions for claiming the prize.
8. All decisions made by Radio One management regarding any aspect of this Sweepstakes are final.

PRIZE(S):

1. Four (4) Grand Prizes:
   Each grand prize consists of a trip for two (2) to Bermuda for the Bermuda Music Festival, including roundtrip coach airfare to Bermuda for two (2) from winner’s home city (or the closest international airport serving winner’s home city or town); hotel stay for three (3) nights (Thursday, Friday, and Saturday; September 30 – October 2, 2010), one (1) standard room double occupancy, and two (2) tickets for the concerts on Thursday, Friday, and Saturday will be provided.
   Ground transportation, meals, taxes, gratuities, alcoholic beverages, sightseeing tours (or other excursions), souvenirs and incidentals are not included as part of the grand prize package and are the responsibility of the Grand Prize Winner and his or her guest.
2. Winner is solely responsible for any and all taxes on prize, as well as any and all expenses relative to participation in the Sweepstakes (including acceptance of prize) not specified herein.
3. Prize is not transferable.  No prize substitution or cash equivalent of prize except at Sponsor’s sole discretion due to prize unavailability for any reason and only then for a prize of comparable value.
4. If for any reason a Sweepstakes winner provides notice that he or she has decided not to accept an awarded prize, the winner will be required to sign a release form acknowledging that they are forfeiting the prize.  It will be at the discretion of the Sweepstakes sponsor and / or Sweepstakes administrator if another participant is to be selected as the winner if time permits.
5. The prize is awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

GENERAL CONDITIONS OF PARTICIPATION:

1. Payment of all federal, state, and local taxes is the sole responsibility of the winner.   Any person winning over $600.00 in prizes will receive an IRS form 1099 at the end of the calendar year for tax purposes and a copy of such form will be filed with the IRS as required by law.
2. Grand Prize Winner will be required to sign and return an Affidavit of Eligibility, a Liability Release, and, where legal, Publicity Release, within fifteen (15) days of the date printed on the prize notification.
3. Radio One reserves the right, in its sole discretion to cancel, terminate, or suspend this Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond the control of Radio One, corrupt or impair the administration, security, fairness, or proper play of the Sweepstakes.  In such event, the prize winners will be selected by random drawing from all eligible entries received up to the time of such cancellation, termination or suspension.
4. The Participating Stations, the Participating Networks, Radio One, Bermuda Tourism, and their respective agencies are not responsible for the inability of a participant to continue or submit an online registration due to lost, interrupted or unavailable network, server or other connections, miscommunications, failed phone or computer hardware or software or telephone transmissions or technical failures, garbled or jumbled transmissions or other errors of any kind, whether human, mechanical or electronic; including without limitation the incorrect or inaccurate capture of entry information online, or for lost, late, incomplete, damaged, destroyed, delayed, stolen, misdirected or illegible entries.  Entry materials/data that have been tampered with or altered are void.
5. Once submitted, entries become the sole property of Radio One and will not be returned.
6. By participating, entrants agree to hold the Participating Stations, the Participating Networks, Radio One, Bermuda Tourism and their respective parent companies, affiliates, subsidiaries, advertising/promotional agencies, and the employees, officers, directors and agents of any of the above organizations harmless against any and all claims or liability for any injuries, losses, or damages of any kind, directly or indirectly related to or arising from or in connection with participation in the Sweepstakes or the acceptance, possession or use/misuse of a prize or participation in any prize-related activities.
7. Where legal, by accepting prize, winner grants permission to use his/her name, voice, likeness, photograph, and statements in any advertising or broadcasting material relating to this Sweepstakes, in any media now known or hereafter devised for advertising or promotional purposes by Radio One, Inc., Bermuda Tourism and their respective parent companies, affiliates, subsidiaries, and advertising/promotional agencies for advertising/publicity purposes without further compensation.
8. No purchase is necessary.  The Sweepstakes is void where prohibited.  This Sweepstakes is subject to all applicable federal, state and local laws and regulations.
9. So long as no participant is adversely affected in any material way Bermuda Tourism and Radio One reserve the right to make changes in the rules of the Sweepstakes.  Any changes made will become effective once announced on the air.
10. Odds of winning the Grand Prize depend on the number of eligible participants submitting entries during the Sweepstakes Period.
11. Winner acknowledges that Radio One has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the items included in the Grand Prize package, including but not limited to the quality, merchantability, mechanical condition or fitness of the prize items.
12. Dates and times of concerts and trips promoted by Sweepstakes sponsors are subject to change and those changes are deemed to be beyond the control of Radio One.  Changes of venue, cancellation of engagements by performing artists, and/or their management may be permanent in nature.  Radio One is not obligated to make any effort to find an alternative prize under these circumstances.
13. Radio One, its subsidiaries, affiliates, participating sponsors and promotional partners will not assume any responsibility for any changes in the execution of the Sweepstakes, including; cancellation of the Sweepstakes as a result of the occurrence of events not within the control of Radio One, its subsidiaries, affiliates, participating sponsors/promotional partners and other radio stations, such as acts of God, strikes, terrorists acts or criminal acts of third parties.
14. If for any reason this Sweepstakes cannot be executed as planned, including but not limited to tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Radio One, that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Sweepstakes, Radio One reserves the right to terminate the Sweepstakes, and to select the winners from among all eligible, non-suspect entries received as of the time/date of termination, based on the judging criteria stated herein.  Radio One reserves the right, at its sole discretion, to disqualify and prosecute any individual who tampers with or attempts to tamper with the entry process or who enters in contravention of these Official Rules.
